Terms of Service

1. What TradeForge Is
TradeForge is a self-serve platform that builds and operates automated software ("your software") for your trades business based on a conversation with Forge, TradeForge's AI-guided discovery assistant. In these Terms, "TradeForge," "we," and "us" mean Trade Forge LLC, a Georgia limited liability company. By creating an account, you agree to these Terms.
2. Free Signup, No Payment Required to Start
Creating an account and talking to Forge is free and requires no payment method. You are only charged once you accept a report and price and complete checkout for a specific piece of software.
3. Pricing
Each piece of software you activate is priced individually: a shared base platform fee, plus a flat monthly add-on price per capability ("block") you turn on, adjusted by your reported crew size, plus a one-time setup fee at signup. The exact price is shown to you on the report-and-price screen before you pay, and again on your Billing page at all times.
Your price will never change without your explicit acceptance. TradeForge may, at its sole discretion and at no cost to you, apply an automatic technical usage ceiling to protect service quality — this is not a price change. Separately, if your sustained usage of a block substantially exceeds what your current crew-size tier assumes, TradeForge may offer you the next tier up; this offer is never applied without your explicit acceptance.
4. Refunds
Any cancellation within 14 days of a piece of software's first billing date is automatically refunded in full, with no action required from you, limited to one self-serve refund per rolling 90-day period. This automatic refund includes the one-time setup fee associated with that software when the cancellation falls inside the 14-day window. Requests outside this window are handled through Support (see our Support page).
5. Cancellation
You may cancel any single piece of software independently from your Billing page at any time; cancellation takes effect at the end of the current billing period unless you qualify for the refund window above.
6. Automatic Renewal
Each piece of software is a monthly subscription that renews automatically at the then-current price until you cancel. Billing recurs once per month on the anniversary of that software's first billing date. You can cancel any software yourself at any time, in a few clicks, from your Billing page (Section 5); cancellation stops all future charges for that software. There is no cancellation fee and no phone call required. We will show your renewal date and price on your Billing page at all times.
7. AI Disclosure & Call Recording
Forge, TradeForge's discovery assistant, and other assistant features of the service are AI systems. They are identified as such and never claim to be human. TradeForge does not currently record telephone calls, and no capability that records calls is active on any account. If a future capability involves call recording, we will update these Terms and our Privacy Policy first, and the capability will remain off until you explicitly turn it on.
8. Intellectual Property & Your Content
TradeForge owns the platform. The TradeForge software, its underlying technology, the automations we build, the templates, the brand, and everything we create to provide the service are and remain the property of Trade Forge LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use your software for your business while your account is active; they do not transfer ownership of the platform to you.
You own your content and your data. The business information, customer lists, messages, documents, and other content you provide or that your software generates for you ("your content") remain yours. You grant TradeForge a limited license to host, process, and use your content solely to operate, maintain, secure, support, and provide the service to you — and for no other purpose. If you send us feedback or suggestions, we may use them to improve the service without obligation to you.
9. Your Account
You are responsible for keeping your login credentials secure and for everything done through your account. Tell us promptly at Support if you believe someone else has access to it. You must be at least 18 years old and authorized to enter agreements on behalf of the business you sign up.
10. Acceptable Use
You may not use TradeForge, or the software we run for you, to:
- send unlawful, harassing, deceptive, or unsolicited bulk messages;
- violate any applicable telemarketing, call-recording, messaging, or do-not-call regulation;
- impersonate another business or person; or
- attempt to gain unauthorized access to TradeForge systems or to another customer's data.
You are responsible for the messages your software sends on your behalf and for obtaining any consent the people it contacts are entitled to under the law that applies to you. If a piece of software is being used in violation of this section, we may suspend it — and we will tell you why.
11. Messaging Consent (SMS & Email)
Some software sends text messages or emails to your customers, in your business's name, using the numbers and contact lists you supply. Because those are your contacts and your messages, you represent and warrant that you have the legal right and any required prior consent to contact each recipient, and that your use complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any state messaging or do-not-call laws that apply to you. You are responsible for honoring opt-out requests; TradeForge provides standard "reply STOP to unsubscribe" handling and an email unsubscribe link, but you must not re-add anyone who has opted out. Your indemnity in Section 18 covers claims arising from the recipients you direct messages to.
If you received a text from a business that uses TradeForge. You are receiving messages because you gave that business your number and agreed to be texted about your job — appointment reminders, arrival updates, and a reply when you call and nobody picks up. Message frequency varies. Message and data rates may apply, depending on your mobile plan. Reply STOP to any message to stop receiving them; reply HELP for help. What happens to your information is described in our Privacy Policy.
12. Third-Party Accounts You Connect
Your software may connect to services you authorize, such as your calendar, phone number, or accounting tool. Those services are governed by their own terms, and we are not responsible for their availability, pricing, or conduct. You can disconnect any of them at any time, though doing so may stop a capability from working.
13. Invoices Sent on Your Behalf
If you turn on invoicing or payment collection, TradeForge sends invoices to your customers in your business's name, and payments are collected into your own connected Stripe account — the money never passes through TradeForge. Because these invoices go out under your name, we will not send a single one until you have explicitly consented, and we record the date and time you did. You can withdraw that consent at any time from your Settings, which stops all future invoicing immediately. Any invoice already delivered to a customer stands on its own. If you also connect QuickBooks, QuickBooks takes precedence and TradeForge will not raise a second invoice for the same work.
14. Data Processing & Your Customers' Data
To run your software, TradeForge processes not only your business information but also personal information about your own customers (for example, the name, phone number, or address of someone your software contacts, books, or invoices). As to that data, you are the controller and TradeForge acts on your behalf as a service provider/processor: we process it only to provide the service to you, under your instructions and these Terms, and we do not sell it or use it for our own purposes. You are responsible for having the right to provide that data and to have it processed this way. Our handling of all personal information is described in the Privacy Policy.
15. Service Availability
We work to keep your software running continuously and we monitor it around the clock, but we do not guarantee uninterrupted or error-free service. Planned maintenance, third-party outages, and unforeseen failures can interrupt it. If a failure on our side causes an extended outage, contact Support and we will make it right.
16. Disclaimer of Warranties
Except as expressly stated in these Terms, your software is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your software acts on your behalf; it does not replace your own judgment about your customers, your schedule, your pricing, or your legal obligations.
17. Limitation of Liability
To the maximum extent permitted by law, TradeForge's total liability for all claims arising out of or relating to these Terms or to a piece of software is limited to the amount you paid TradeForge for that piece of software during the twelve months before the claim arose.
To the maximum extent permitted by law, TradeForge is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost jobs, lost data, or lost business opportunities, even if we were advised such damages were possible. Some jurisdictions do not allow certain of these exclusions, in which case they apply to you only to the extent permitted.
18. Your Indemnity to TradeForge
Your software acts in your name, on your instructions, and on the contact lists you supply. If a third party — for example, a person your software contacted — brings a claim against TradeForge arising out of (a) content you supplied or approved, (b) the recipients you directed messages to or the contact lists you provided, or (c) your breach of Section 10 or Section 11, you agree to defend TradeForge against that claim and to reimburse the resulting damages, settlements, and reasonable legal costs. TradeForge will notify you promptly of any such claim and will not settle a claim in your name without your consent. This obligation does not apply to the extent a claim results from TradeForge's own breach of these Terms or its own negligence.
19. Suspension & Termination
You may cancel any piece of software at any time under Section 5. We may suspend or terminate your account for non-payment, for a violation of Section 10, or if we are required to by law. Except where the law or an ongoing abuse investigation prevents it, we will give you notice and a chance to fix the problem first. If we terminate your account without cause, we will refund any prepaid amounts covering service you did not receive.
20. Dispute Resolution — Arbitration & Class-Action Waiver
Please read this section carefully — it affects how disputes are resolved. Except for the small-claims and injunctive matters below, you and TradeForge agree that any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration, administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable rules, seated in Georgia or conducted remotely. You and TradeForge each waive the right to a jury trial and the right to participate in a class, collective, or representative action; disputes are brought only in an individual capacity.
Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or stop unauthorized access.
30-day opt-out. You may opt out of this arbitration and class-waiver section by emailing tradeforgeoffice@gmail.com within 30 days of first accepting these Terms, stating your account and that you opt out; opting out does not affect the rest of these Terms.
21. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration under Section 20, it will be brought in the state or federal courts located in Georgia, and both you and TradeForge consent to that venue.
22. Changes to These Terms
We may update these Terms as the service changes. If an update materially affects your rights or obligations, we will email the address on your account at least 30 days before it takes effect and post the new date at the top of this page. Continuing to use TradeForge after that date means you accept the updated Terms; if you do not, you can cancel under Section 5 and receive a refund of any prepaid, unused amounts.
23. General
If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will stay in full effect (severability). These Terms, together with the Privacy Policy and any order you accept, are the entire agreement between you and TradeForge about the service and replace any prior understanding. TradeForge may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. A failure to enforce a provision is not a waiver of it. Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure).
